1. Introduction and Acceptance of Terms

Welcome to Quantxs, a trading and investment platform operated by Soaring Peaks Capital Services Private Limited ("Company", "we", "us", or "our"). By accessing or using the Quantxs website (www.quantxs.com), mobile application, or any related services (collectively, the "Platform"), you agree to be bound by these Terms and Conditions.

Soaring Peaks Capital Services Private Limited is a SEBI Registered Stock Broker with registration number [SEBI Registration No. – To be updated], a member of the National Stock Exchange of India Ltd. (NSE) with member code [NSE Member Code – To be updated], a member of BSE Ltd. (BSE) with member code [BSE Member Code – To be updated], and a Depository Participant registered with CDSL with DP ID [CDSL DP ID – To be updated].

2. Definitions

"Client" or "User" means any individual or entity registered on the Platform. "Services" includes stock broking, depository participant services, algorithmic trading tools, investment research, and any other financial services offered through the Platform. "Exchange" refers to NSE, BSE, or any other recognized stock exchange. "SEBI" means the Securities and Exchange Board of India.

3. Eligibility

To use the Platform, you must:

  • Be at least 18 years of age and legally capable of entering into binding contracts under applicable Indian law.
  • Be a resident Indian or a Non-Resident Indian (NRI) or a Person of Indian Origin (PIO), subject to applicable RBI and FEMA regulations.
  • Possess a valid PAN card and comply with all KYC requirements as mandated by SEBI.
  • Not be barred from accessing capital markets by SEBI or any other regulatory authority.

4. Account Registration and KYC

You are required to complete the Know Your Customer (KYC) process as mandated by SEBI before you can begin trading. You agree to provide accurate, complete, and up-to-date information. Any misrepresentation may result in immediate account suspension and may be reported to the relevant authorities.

You are solely responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately of any unauthorized use of your account.

5. Services Offered

5.1 Stock Broking

Quantxs provides equity and derivative broking services through NSE and BSE. All trades are executed in accordance with Exchange rules and SEBI Regulations.

5.2 Depository Participant Services

As a CDSL-registered Depository Participant, the Company facilitates dematerialization, rematerialization, and custody of securities as per the Depositories Act, 1996.

5.3 Algorithmic & Quantitative Trading Tools

Quantxs offers AI-powered derivative intelligence, algorithmic strategy tools, and options analytics. These are provided as technology tools only and do not constitute investment advice.

6. Risk Disclosure

INVESTMENT IN SECURITIES MARKET IS SUBJECT TO MARKET RISKS. READ ALL RELATED DOCUMENTS CAREFULLY BEFORE INVESTING.

  • Trading in derivatives including options and futures involves substantial risk and is not suitable for all investors.
  • Past performance of algorithmic strategies does not guarantee future results.
  • Leveraged products can result in losses exceeding your initial investment.
  • You are solely responsible for your investment decisions.

7. Charges and Brokerage

The brokerage, transaction charges, statutory levies (STT, GST, SEBI turnover fees, exchange transaction charges, stamp duty), and other applicable charges shall be as communicated to you at the time of account opening or as updated from time to time on the Platform.

8. Order Execution Policy

Orders placed on the Platform are subject to exchange rules, risk management controls, and regulatory requirements. The Company reserves the right to refuse, cancel, or limit orders at its discretion.

9. Intellectual Property

All content on the Platform including but not limited to the Quantxs brand, logo, software, algorithms, data feeds, and user interface are the intellectual property of Soaring Peaks Capital Services Private Limited.

10. Limitation of Liability

To the maximum extent permitted by law, Soaring Peaks Capital Services Private Limited shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of the Platform.

11. Indemnification

You agree to indemnify and hold harmless Soaring Peaks Capital Services Private Limited, its directors, officers, employees, and agents from any claim, loss, liability, or expense arising from your breach of these Terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising shall be subject to arbitration under the Arbitration and Conciliation Act, 1996, and the jurisdiction of courts in Mumbai, India shall apply.
